1. Nature of Goods & Quality Assurance

🌿 Spices & Perishables

We ensure that all spices, fruits, and vegetables meet Indian export standards set by APEDA (Agricultural Products Export Development Authority) and the Spices Board of India. Since these are natural products, slight variations in color, size, and aroma may occur from batch to batch. These variations are natural and do not indicate a defect or quality issue.

👗 Sambalpuri Sarees

These are authentic, hand-woven products created by master weavers of Sambalpur, Odisha. Minor irregularities in weave patterns, color variations, and slight differences are hallmarks of handloom artistry and craftsmanship. These are NOT considered defects but rather authentic characteristics of genuine handwoven sarees.

🏛️ Certifications

Quality certificates such as Phytosanitary Certificates, Organic Certifications, Spice Board Certifications, and other compliance documents will be provided ONLY if explicitly agreed upon and specified in the Proforma Invoice (PI) before order placement.

2. Pricing and Payment

💱 Quotes & Validity

All prices are quoted in USD (US Dollars) or INR (Indian Rupees) as per your requirement. Due to market fluctuations in agricultural commodities, pricing quotes are valid for 7 days from the date of quotation. Market-driven changes may result in price adjustments after the 7-day validity period.

💳 Payment Terms

Standard payment terms are:

• 100% Advance Payment before shipment, OR
• Irrevocable Letter of Credit (L/C) at Sight, OR
• Other terms negotiated and agreed in writing

Accepted payment methods include international bank transfers, L/C, and other mutually agreed methods.

💰 Taxes & Duties

All import duties, taxes, customs clearances, and other levies applicable in the destination country are the sole responsibility of the Buyer. We provide the goods as per FOB/CIF pricing, but the buyer is responsible for all costs incurred after the goods leave our facility or the port of shipment.

3. Shipping and Delivery

🚢 Incoterms

Unless otherwise stated in the purchase order or Proforma Invoice, all shipments are handled under the following Incoterms:

• FOB (Free on Board): Seller pays for goods and loading; buyer handles shipping insurance
• CIF (Cost, Insurance, and Freight): Seller covers goods, shipping, and basic insurance

Specific Incoterms will be confirmed in the Proforma Invoice before shipment.

🥬 Perishable Product Risks

For fruits, vegetables, and other perishable items:

• Jaonix International is NOT liable for deterioration caused by shipping delays
• We are NOT responsible for damage due to customs hold-ups or inspection delays
• Improper storage at the destination port is the buyer's responsibility
• Once goods leave our facility, the buyer assumes all risks related to spoilage or damage

⏱️ Lead Time & Processing

Export timelines and delivery schedules begin ONLY AFTER:

• Receipt of advance payment (100%) in our bank account, AND
• Receipt and verification of all necessary permit documentation (Import licenses, IEC codes, etc.)

Standard processing time is 5-7 business days after these conditions are met. However, we do not guarantee specific delivery dates due to factors beyond our control such as customs procedures and carrier schedules.

4. Claims and Returns

🔍 Inspection Protocol

The Buyer MUST inspect the goods immediately upon arrival at the destination. Any discrepancies must be reported within the following timeframes:

• Perishable items (fruits, vegetables): Within 24 hours of receipt
• Spices: Within 7 days of receipt
• Sarees and textiles: Within 14 days of receipt

Claims received after these timeframes cannot be entertained.

📸 Claim Documentation

Any claims for damage, quality issues, or shortages must be supported by:

• High-resolution photographs showing the damaged or defective goods
• Detailed description of the issue (damage, mold, discoloration, etc.)
• Independent surveyor report (if requested and if damage exceeds USD 1,000)
• Original packing materials demonstrating the condition upon arrival

↩️ Returns Policy

Due to the international nature of our business and the perishable/handmade nature of our products:

• Food products cannot be returned once shipped
• For verified quality issues, we may offer:
  • Credit notes against future purchases, OR
  • Replacement shipment (at our discretion)
• Refunds are NOT available for perishable items
• For non-perishable items with verified quality defects, replacement or credit may be offered

5. Force Majeure

Jaonix International shall NOT be held liable for failure to perform any of its obligations due to events beyond its reasonable control, including but not limited to:

• Natural disasters (earthquakes, floods, hurricanes, etc.)
• Pandemics and epidemics (COVID-19, etc.)
• Wars, terrorism, civil unrest, or political instability
• Strikes, labor disputes, or industrial actions
• Government actions, embargoes, or export-import restrictions
• Supplier failures or production disruptions beyond our control
• Port strikes, shipping disruptions, or logistics failures
• Acts of God or other unforeseen circumstances

In such cases, we will inform the buyer promptly and work toward finding alternative solutions, but liability is waived. Orders may be cancelled with a pro-rata refund if the force majeure event extends beyond 60 days.

6. Governing Law and Jurisdiction

⚖️ Applicable Law

All transactions, contracts, and disputes arising from business with Jaonix International shall be governed by and construed in accordance with the laws of India.

🏛️ Jurisdiction

Any legal disputes, claims, or litigation shall be subject to the exclusive jurisdiction of the courts located in:

• Bhubaneswar, Odisha, India (preferred jurisdiction)
• OR Delhi High Court (for international disputes)

Both parties irrevocably agree to submit to the jurisdiction of these courts.

⚖️ Dispute Resolution

In case of disputes:

1. Both parties shall attempt good faith negotiation for 30 days
2. If unresolved, disputes may be escalated to mediation/arbitration under Indian Arbitration Act, 1996
3. If arbitration is not agreed, disputes shall be resolved in courts of Odisha/Delhi

7. Certifications & Compliance

📄 Export Certifications

Jaonix International is certified and compliant with:

• APEDA Registration: Authorized agricultural export firm
• ISO Certifications: Quality management systems
• FSSAI Compliance: Food Safety Standards Authority of India
• IEC Code: Ministry of Commerce & Industry registered exporter

✅ Import Compliance

Buyers are responsible for ensuring:

• Compliance with destination country import regulations
• Obtaining necessary import licenses and permits
• Meeting food safety standards of the importing country
• Declaring goods to customs authorities accurately

🚫 Export Restrictions

We do NOT sell to countries under international export sanctions or trade embargoes. We reserve the right to verify buyer credentials and destination before processing orders.

8. Intellectual Property

🔒 Website Content

All content on our website, including product descriptions, images, testimonials, and marketing materials, is the intellectual property of Jaonix International or its content suppliers. Unauthorized reproduction, distribution, or use is strictly prohibited.

📸 Product Images

All product photographs and videos on our website are owned by Jaonix International. These images may not be used for commercial purposes without written permission.

🎨 Sambalpuri Saree Designs

While our sarees are handwoven unique pieces, buyers purchasing for commercial resale must respect the original artisan designs and not claim them as their own creation.

🔄 Modification of Terms

Jaonix International reserves the right to modify these Terms & Conditions at any time. Updated terms will be posted on our website with a revised "Last Updated" date. Continued business engagement after updates constitutes acceptance of the new terms.

⚖️ Entire Agreement

These Terms & Conditions, along with the Proforma Invoice and any written agreement, constitute the entire agreement between the buyer and Jaonix International. Any previous communications, verbal agreements, or understandings are superseded by this agreement.

📜 Validity

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

🌐 Severability

If a court or competent authority voids any clause, the remaining clauses remain valid and binding.
